Terms and Condition - Dubai Business License

1. Commencement of Services

Services shall commence upon the Client’s acceptance of the official quotation, which includes all stated terms, conditions, and applicable fees. Upon acceptance, the quoted fees shall be deemed final and non-refundable. The Client acknowledges that the pricing reflects the scope, complexity, and quality of the services to be provided, and therefore expressly waives any right to dispute, challenge, or seek reimbursement on the basis of pricing found after acceptance.

2. Payment Terms

Full payment of all quoted fees is due and payable prior to the commencement or delivery of any services. In the event of any changes in scope, additional client requests, regulatory requirements, or unforeseen variations during the course of service delivery, the Company reserves the right to revise the fees accordingly. Any such additional charges shall be communicated to the Client in advance and will be payable prior to the continuation or completion of the affected services.

3. License Fee Variability and Renewal Responsibility

All license issuance and renewal fees are subject to change at the discretion of the relevant authorities and may vary from time to time without prior notice. Any such adjustments shall be communicated to the Client when applicable, and the Client agrees to bear any resulting difference in cost.

All licenses are valid for a period of one (1) year, and timely renewal is mandatory to maintain legal compliance. It is the sole responsibility of the Client to monitor and initiate the renewal or update of their license before the expiration date. The Company shall not be held liable for sending reminders or notifications regarding license renewals.

5. Government Approvals for Regulated Activities

Certain licensed activities may require prior approval or clearance from competent government authorities. Such approvals may incur additional government and administrative charges.

6. Change Requests During Service Execution

Any amendments or modifications requested by the client after the initiation of the service process shall be subject to additional costs, fully payable in advance.

7. Extended Processing Timelines for Specific Nationalities

The standard timeframe for business setup may be extended for applicants of certain nationalities, subject to government security screening and compliance checks, over which the service provider has no control.

8. Family / Dependent Visas and Employment Visas

Fees related to dependent visas, family sponsorship, or employment visas (up to the stage of residency stamping) are not included in the standard service package. A separate quotation will be provided upon request, based on the specific visa requirements and applicable fees and charges.

9. Currency Exchange Disclaimer

All quoted amounts in United States Dollars (USD) are based on prevailing exchange rates and are subject to fluctuation without notice.

10. Visa Designation and Qualification Requirements

Visa job designations shall be selected from the pre-approved list. In the event a designation outside this list is requested, submission of an attested academic degree certificate (verified by UAE Ministry of Foreign Affairs and International Cooperation (MoFAIC) and bearing a QR Code) shall be required.
Note: For non-managerial positions, degree certificate attestation is not mandatory.

11. VIP and Expedited Services

Fast-track, VIP, or priority handling services are available upon request and shall be invoiced separately at prevailing rates.

12. Changes to Official Fees

All government fees, including but not limited to license fees and associated administrative costs, are subject to change at the sole discretion of the relevant authority, without prior notification.

13. Administrative Charges for Official Documentation

Separate issuance and handling fees shall apply to any formal documentation or official letters requested by or issued through the Free Zone Authority.

14. Emirates ID and Visa Issuance Timelines

The timeline for issuance of Emirates ID cards and residency visas is subject to governmental procedures, biometric appointment scheduling, and national security checks. The standard processing time is approximately 15 to 20 working days; however, delays and additional costs may arise due to circumstances beyond our control.

15. Additional Visas on Trade License

Should additional employment or investor visas be required under the issued trade license, a separate quotation shall be provided accordingly.

16. Bank Account Opening

The shareholder must hold a valid UAE Residency Visa to proceed with opening of a corporate and/or personal bank account in the United Arab Emirates.

The opening of a UAE corporate bank account is subject to each bank’s internal policies, due diligence procedures, and approval at their sole discretion.

While we may assist with initial introductions and basic guidance, we do not guarantee account opening. Independent bank consultants may offer professional services subject to their respective fee structures.

17. Corporate Tax (CT) and Value Added Tax (VAT) Compliance

Clients are strongly advised to engage licensed accounting professionals for matters relating to Corporate Tax (CT) and Value Added Tax (VAT). We may recommend registered professionals for consultation.

CT Registration: Mandatory within three (3) months of trade license issuance. Late registration will result in substantial penalties imposed by the UAE Federal Tax Authority (FTA). As of 2025, Corporate Tax is levied at a rate of 9% on taxable profits exceeding AED 375,000.

CT Filing: Annual filing is required within nine (9) months of the financial year-end, irrespective of tax liability.

VAT Registration: Mandatory for businesses whose taxable supplies and imports exceed AED 375,000 annually. Standard VAT rate is 5%, effective since January 1, 2018. VAT applies across UAE mainland and free zones (unless exempt).

Sales to UAE mainland: 5% VAT

Sales to another Free Zone: 5% VAT

Exports to VAT-registered GCC entities: 0% VAT

Exports to non-GCC countries: 0% VAT

Transactions between Designated Zones: Exempt from VAT (Note: Designated Zones differ from Free Zones.)

18. Involuntary Loss of Employment (ILOE) Insurance

Subscription to the UAE Involuntary Loss of Employment (ILOE) scheme is compulsory following issuance of the Emirates ID.

19. Health Insurance Requirements

Health insurance is mandatory in the UAE. Clients are responsible for arranging coverage post-receipt of Emirates ID. A price list based on age group and insurance plan may be provided upon request. Health insurance costs are not included in the standard quotation.

20. Business License Renewal and Termination

All business licenses must be renewed on an annual basis. Failure to renew in a timely manner may result in penalties imposed by licensing and immigration authorities.

A Financial Audit Report prepared by an approved UAE-based audit firm is can be mandatory for license renewal pursuant to 2024 regulations and UAE Economic Substance Regulations (ESR), depending on the nature of the licensed activity.

In the event of License cancellation, strike-off, or liquidation, applicable procedures, government fees, service costs and timeline shall apply. Written notice must be provided no less than sixty (60) days prior to the license renewal date to initiate the termination process.
